These Terms of Use (these "Terms") of Ordenance ("Ordenance," "we," "our," or "us") constitute an agreement that describes your rights and responsibilities as an Ordenance customer. These Terms govern how you may access and use: (i) ordenance.com, its subdomains, and any other website where these Terms are posted; (ii) Ordenance’s online hosted services; and (iii) Ordenance’s "Software," meaning, collectively, our browser extensions, mobile applications, other downloadable apps, application programming interfaces ("APIs"), and tools and documentation ((i) through (iii) collectively, our "Service" or "Ordenance").
Please read these Terms carefully to ensure that you understand each provision. By creating an Ordenance account, clicking "Sign Up", "Get Started", "Sign in with Google", "Submit", or any similar button indicating acceptance electronically, or by accessing or using Ordenance, you signify that you have read, understood, and agree to be bound by these Terms, and that you have read, understood, and acknowledge our Privacy Policy, which is available at ordenance.com/privacy-policy ("Privacy Policy") , whether or not you are a registered user of Ordenance. We reserve all rights not expressly granted under these Terms.
If you are an individual accessing or using Ordenance on behalf of a company, principal, or other entity, such as your employer (each, together with its affiliates, an "Organization"), then: (i) these Terms are an agreement between us and both you and the Organization; (ii) you represent and warrant that you have the authority to bind that Organization to these Terms (and if you do not have the authority, you may not access or use Ordenance); (iii) your acceptance of these Terms will bind such Organization to these Terms; (iv) your individual right to access and use Ordenance may be suspended or terminated (and ownership and administration of your Ordenance Account may be transferred) if you cease to be associated with, or cease to use an email address associated with or provisioned by, that Organization; (v) we may disclose information regarding you and your use of the Service to such Organization; and (vi) the terms "you" and "your," as used in these Terms, refer to both you and such Organization. If you sign up for Ordenance using an email address associated with or provisioned by an Organization, or if an Organization pays fees due in connection with your access to or use of Ordenance (or reimburses you for payment of such fees), or otherwise, then we may deem you, at our sole discretion, to be accessing and using Ordenance on behalf of that Organization.
Eligibility
You may use Ordenance only if you are legally capable of entering into a binding contract under UAE law. You must be at least 18 years old to use our Service. By using Ordenance, you represent that you meet these eligibility requirements.
Access, Restrictions, and Use
Subject to your compliance with these Terms, you may access and use Ordenance during the Subscription Term. Unless otherwise agreed in writing or where restricted by law, you agree not to, and not to assist or enable any third party to:
- Disassemble, reverse engineer, decode, or decompile any part of Ordenance.
- Use any automated means, such as robots or scraping tools, to access, collect, or copy data from Ordenance.
- Copy, rent, lease, sell, sublicense, distribute, modify, or create derivative works of any part of Ordenance or its intellectual property.
- Use Ordenance in a manner that affects the stability, performance, or operation of our servers or impacts other users.
- Engage in activities that violate any applicable law, infringe on intellectual property rights, privacy rights, or any other rights.
- Use Ordenance for any fraudulent, deceptive, defamatory, or harmful purposes.
- Use or display Ordenance in competition with us, for benchmarking, or to develop competing products or services.
- Attempt to interfere with the security of Ordenance or decipher any transmissions to or from our servers.
- Transmit viruses, worms, or any other malicious software through Ordenance.
- Impersonate another person, misrepresent your affiliation, or use Ordenance for any fraudulent purposes.
- Share your Ordenance login credentials or circumvent any security measures we employ to protect the Service.
- Reference Ordenance in a manner that implies endorsement or affiliation without our express written consent.
Account Management
Your Ordenance account ("Account") gives you access to our Service. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. Notify us immediately of any unauthorized use or security breach of your Account.
User Content and License
You retain ownership of all content you upload to Ordenance ("Your Content"). By uploading Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, modify, and display Your Content for the purposes of providing and improving the Service.
Privacy and Data Protection
Your use of Ordenance is subject to our Privacy Policy, which outlines how we collect, use, and protect your data. We comply with UAE data protection laws and take appropriate measures to safeguard your information.
Intellectual Property
All intellectual property rights in Ordenance, including software, content, and branding, are owned by us or our licensors. You may not use, modify, or distribute any part of our intellectual property without our express permission.
Service Changes, Suspension, and Termination
We reserve the right to modify, suspend, or terminate the Service at any time, without notice. We may also terminate or suspend your access to Ordenance if you violate these Terms or UAE law. Upon termination, these Terms will continue to apply to any obligations that accrued prior to termination.
Confidentiality
You agree to keep confidential any non-public information disclosed by us to you. Confidential information does not include information that becomes public through no breach of these Terms.
Limitation of Liability
To the fullest extent permitted by UAE law, Ordenance shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Service. Our total liability for any claims related to the Service is limited to the amount you paid us, or AED 100, whichever is greater.
Indemnity
You agree to indemnify and hold Ordenance harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising out of these Terms or your use of Ordenance shall be resolved through arbitration in Dubai, UAE, under the rules of the Dubai International Arbitration Centre (DIAC). By using Ordenance, you agree to waive any right to a jury trial or to participate in a class action.
Export Controls
You agree to comply with all applicable UAE export control laws and regulations. You are responsible for ensuring that your use of Ordenance complies with any restrictions on the export or import of software and data.
Fees and Payment
You agree to pay all fees associated with your use of Ordenance according to the pricing terms set forth at the time of purchase. Fees are non-refundable unless otherwise stated. Payment is due upon receipt of the invoice. Failure to make timely payments may result in suspension or termination of your access to the Service. Any applicable taxes will be added to your billing amount.
Service Availability and Performance
Ordenance strives to maintain a reliable and accessible service. Our availability commitment, support response targets, scheduled-maintenance notice, and any associated service credits are set out in the Service Level Commitment (SLA) section below, which applies to the availability and performance of the Service. Except as expressly stated in the SLA, the Service is provided on an "as available" basis, and the service credits described in the SLA are your sole and exclusive remedy for any failure to meet the availability commitment.
Data Retention and Backup
Ordenance retains user data in accordance with its data retention policy and maintains backup and disaster-recovery measures as described in the Service Level Commitment (SLA) section below. These measures supplement, and do not replace, your responsibility to retain your own copies of the source documents you upload. Except as expressly provided in the SLA and subject to the Limitation of Liability section, Ordenance is not liable for any loss or corruption of data caused by factors outside its reasonable control.
Force Majeure
Ordenance is not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, acts of war, government actions, or Internet service provider failures.
Term and Termination
These Terms remain effective until terminated by either party. You may terminate your account at any time by notifying us. We may terminate or suspend your access to Ordenance without notice if you breach these Terms. Upon termination, your right to use the Service ceases immediately, and we may delete your data.
Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on our website, and your continued use of Ordenance after such changes constitutes your acceptance of the new Terms.
Data Processing (DPA)
This section governs our Processing of personal data contained in the documents and information you upload ("Customer Data"), and applies in addition to our Privacy Policy. It is entered into under UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data ("PDPL"). For Customer Data, you act as the data controller and we act as the data processor; where you upload data on behalf of your own clients, we act as a sub-processor and you confirm you are authorised to engage us on these terms.
We Process Customer Data only on your documented instructions and as needed to provide the Service, except where UAE law requires otherwise. We keep personnel bound by confidentiality, apply the security measures described in our Security documentation (including AES-256 encryption, MFA, and role-based access), and assist you, so far as reasonably possible, in responding to data-subject requests and meeting your own PDPL obligations.
You authorise us to engage sub-processors to Process Customer Data, currently our cloud provider (Amazon Web Services), database host (MongoDB Atlas), and payment processor (Telr). We impose data-protection obligations on each sub-processor no less protective than these terms and remain responsible for their performance. We will notify you of any new sub-processor and give you a reasonable opportunity to object on legitimate grounds.
We will notify you without undue delay, and in any event within 72 hours, after becoming aware of a personal-data breach affecting Customer Data, and will reasonably assist you in mitigating it and meeting any obligation to notify the UAE Data Office or affected individuals. On termination, we will return or securely delete Customer Data at your election, except where retention is required by law. Customer Data is hosted and primarily Processed in the UAE, with a disaster-recovery replica outside the UAE (currently India), subject to appropriate safeguards under the PDPL.
Service Level Commitment (SLA)
We will use commercially reasonable efforts to make the Service available with a monthly uptime of at least 99.5%, excluding scheduled or emergency maintenance, events beyond our reasonable control, and issues caused by your equipment, network, or misuse. We aim to give at least 48 hours' notice of scheduled maintenance expected to cause material downtime.
Support is available by email at [email protected] during business hours (Monday to Friday, excluding UAE public holidays). We target a first response within 4 business hours for critical issues (Service unusable), 1 business day for major issues, and 3 business days for routine questions. Response times refer to first response, not resolution.
We maintain regular encrypted backups and operate a primary region in the UAE with a cross-region disaster-recovery replica (currently India), targeting a recovery point and recovery time objective of 24 hours each following a major incident. These are targets, not guarantees. During a major incident, we will keep affected customers informed of status and expected restoration until resolved.
